Education-only scope
Bila B.V. provides online educational courses, virtual workshops, webinars, and downloadable learning resources only. We do not provide consulting, financial services, legal services, accounting, investment services, recruitment, employment placement, healthcare services, immigration services, software development, engineering services, or government-recognized certification services.
Participation in educational programs does not guarantee employment, promotions, certifications, business success, or financial outcomes. Results vary based on time invested, prior experience, and the learner’s workplace context.
1. Acceptance of these Terms
These Terms & Conditions (“Terms”) govern your access to and use of the Bila website (the “Site”) and any interactions with Bila B.V. (“Bila”, “we”, “us”, “our”), including submitting registration or inquiry forms for our online learning programs and workshops.
By accessing or using the Site, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use the Site.
You must be at least 16 years old to use this Site. If you are under 18, you confirm that a parent or legal guardian has reviewed and agreed to these Terms on your behalf. Our Privacy Policy forms part of these Terms by reference and explains how we handle personal data.
2. Educational content disclaimer
The Site and all program materials are provided for educational and informational purposes. We present structured learning content on topics such as business administration, workplace communication, leadership development, project management fundamentals, productivity practices, digital workplace competencies, and career development.
The Site does not provide professional consulting, legal advice, financial advice, accounting advice, investment advice, employment placement services, or any regulated professional service. Any examples, templates, or scenarios are illustrative and intended to support learning. You remain responsible for how you apply learning outcomes in your own work or personal circumstances.
Where a course discusses workplace processes (for example, documentation standards, stakeholder communication patterns, or basic project controls such as scope notes and risk logs), it is presented as learning content. It is not a substitute for policies, procedures, or professional advice relevant to your specific employer, industry, or jurisdiction.
3. Description of services
Bila B.V. operates as an independent provider of online professional workplace education serving learners throughout Canada. Our offerings may include self-paced programs, scheduled virtual workshops, webinars, and downloadable learning resources. Availability, duration, and learning formats may vary by program and may change over time.
Registration through the Site is a request to be contacted and/or to register interest. Unless explicitly confirmed in writing by Bila B.V., submitting a form does not create a binding contract for a specific program start date, seat, or delivery schedule. We may request additional information to confirm suitability, schedule, and participation requirements.
We may modify, update, suspend, or discontinue any part of the Site or any educational offering, including curriculum outlines, downloadable resources, delivery methods, and supporting materials. When changes are material, we aim to communicate them through the Site or by email for active registrations.
4. Acceptable use
You agree to use the Site lawfully and in a manner consistent with its educational purpose. You must not:
- Attempt to gain unauthorised access to the Site, server infrastructure, or related systems.
- Interfere with the Site’s operation, including by introducing malware, bots, or automated requests that degrade performance.
- Scrape, crawl, or systematically extract Site content using automated tools without our prior written permission.
- Submit false, misleading, or impersonated information through any form.
- Use the Site to send unsolicited or abusive communications, including spam.
- Bypass or attempt to bypass security controls, rate limits, or technical restrictions.
- Use the Site in a way that infringes intellectual property rights or privacy rights of others.
We may restrict or block access to the Site where we reasonably believe there has been a breach of these Terms, a security concern, or misuse of Site functionality.
5. Intellectual property
The Site, including its design, text, course descriptions, downloadable resources, templates, branding, logos, graphics, and other content, is owned by or licensed to Bila B.V. and is protected by intellectual property laws.
Subject to these Terms, Bila B.V. grants you a limited, non-exclusive, non-transferable licence to access the Site for personal, non-commercial educational use. You must not copy, reproduce, distribute, publish, publicly display, modify, create derivative works from, or exploit any Site content without prior written permission, except where such use is permitted by mandatory law.
If you download materials made available through programs or resources pages, you may use them for your own learning and workplace practice. You may not resell, republish, or distribute them as standalone products or as part of another course or training package.
6. Third-party services and external links
The Site may reference or rely on third-party services (for example, email delivery, infrastructure, or embedded tools). Where the Site links to third-party websites, those links are provided for convenience. Bila B.V. does not control and is not responsible for third-party content, policies, or practices.
Your use of third-party services may be subject to the third party’s terms and privacy policies. You should review them before providing information or using those services.
7. Disclaimer of warranties
The Site and all content are provided on an “as is” and “as available” basis. To the maximum extent permitted by applicable law, Bila B.V. disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, accuracy, reliability, non-infringement, and availability.
We do not warrant that the Site will be uninterrupted, error-free, secure, or free of harmful components. We also do not warrant that educational outcomes will meet a particular expectation, or that applying content will result in a specific workplace result.
8. Limitation of liability
To the maximum extent permitted by applicable law, Bila B.V. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, business opportunities, goodwill, data, or anticipated savings, arising out of or related to your use of (or inability to use) the Site.
To the extent liability cannot be excluded, Bila B.V.’s total aggregate liability for all claims arising out of or relating to the Site or these Terms is limited to the greater of (a) the amount you paid to Bila B.V. in the 12 months prior to the event giving rise to the claim, or (b) €100.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for intent, fraud, or gross negligence where such limitations are prohibited.
9. Indemnification
You agree to indemnify and hold harmless Bila B.V., its directors, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your breach of these Terms; (b) your misuse of the Site; or (c) information you submit through the Site that is unlawful, infringing, or misleading.
10. Force majeure
Bila B.V. will not be liable for any delay or failure to perform resulting from events beyond our reasonable control, including but not limited to natural disasters, fire, flood, war, terrorism, civil unrest, strikes, supply chain disruption, epidemics or pandemics, failures of internet or telecommunications providers, cyberattacks, or cloud service outages.
11. International use
The Site is operated by Bila B.V. from the Netherlands and is intended to support online education delivery to learners across Canada. We do not represent that the Site or content is appropriate or available for use in all jurisdictions. You are responsible for complying with applicable laws where you access the Site.
12. Governing law and jurisdiction
These Terms are governed by and construed in accordance with the laws of the Netherlands, without regard to conflict of law principles.
Subject to any mandatory consumer protection rules that apply to you, the courts of the Netherlands will have exclusive jurisdiction to resolve disputes arising out of or relating to these Terms or the Site.
13. Dispute resolution (informal first)
Before filing a formal claim, you agree to contact us and provide a short description of the issue and the relief sought. We will attempt to resolve disputes in good faith within 30 days. You can reach us using the contact details in Section 21.
If informal resolution is not successful, disputes will be handled under the governing law and jurisdiction set out above, unless mandatory law requires a different forum.
14. Termination
We may suspend or terminate access to the Site at any time if we reasonably believe you have violated these Terms, created a security risk, or engaged in misuse of Site functionality. Termination does not limit any rights or remedies available to Bila B.V. under applicable law.
Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, governing law, and other provisions that by their nature should survive will survive termination.
15. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The invalid or unenforceable provision will be replaced by an enforceable provision that most closely reflects the original intent.
16. Entire agreement
These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Bila B.V. regarding the Site and supersede any prior or contemporaneous understandings on the same subject matter.
17. Assignment
Bila B.V. may assign or transfer these Terms, in whole or in part, to an affiliate or successor in connection with a merger, acquisition, reorganisation, or asset sale. You may not assign or transfer these Terms without our prior written consent.
18. No waiver
Failure by Bila B.V. to enforce any provision of these Terms is not a waiver of our right to enforce that provision or any other provision later. A waiver is effective only if provided in writing and signed by an authorised representative of Bila B.V.
19. Modifications to these Terms
We may update these Terms from time to time to reflect changes in the Site, educational offerings, or legal requirements. Changes become effective 14 days after they are posted on this page, unless a shorter period is required for legal compliance or security reasons.
Your continued use of the Site after the effective date of changes constitutes acceptance of the updated Terms.
20. Electronic communications
By using the Site and submitting forms, you consent to receive communications from us electronically (for example, by email). You agree that electronic communications satisfy legal requirements for communications to be in writing, where applicable under relevant electronic transactions laws and regulations.
